Stop Losing Money on Deals You Should Have Walked Away From.

The checklist changes that.

I walked away from a $300K deal because of one line in the import data. Not a gut feeling — a specific flag in the supplier documentation that told me the numbers couldn't hold. This checklist is the exact framework I use before wiring money on any acquisition. Every item has a threshold. Every threshold is a decision rule.

The 47-Item Checklist

Every item across 8 categories: Financial Verification, ASIN & Product Analysis, Traffic & PPC, Supply Chain & Inventory, Amazon Account Health, Seller Verification & Deal Structure, Market & Competition, and Final Go / No-Go.

The 6 Dealbreakers

Six items that end the deal immediately — no negotiation, no workaround. Prior account suspension. Brand Registry not fully transferable. Open documentation requests on ASINs. These are not yellow flags. They are stops.

The Top 10 Priority Items

When the due diligence window is closing and you have 48 hours, these are the 10 items that matter most. Ranked by the probability they reveal a fatal flaw before you wire money.

The Specific Thresholds

Not guidelines. Actual decision rules: 26% minimum net profit margin. TACoS ceiling of 25–30%. Single parent ASIN revenue concentration capped at 80%. Inventory older than 6 months valued at $0. These numbers are non-negotiable.

Skipping due diligence isn't free.

It just invoices you later.

$40K overpaid

Operator add-back accepted at face value. Someone has to run the business — no one does it for free. You paid for a salary that doesn't exist.

$40K saved

Add-back challenged. Operator cost modeled correctly. Price renegotiated before close. The checklist item is explicit: verify every add-back with a real market rate.

One ASIN = 90% of revenue

Acquisition closes. Six months later, Amazon suppresses the listing for a policy violation. Revenue drops 90% overnight. No recovery path.

Deal passed

Single parent ASIN revenue concentration above 80% is a hard stop. The checklist flags it in the first 30 minutes of due diligence. Deal never moves forward.

$200K acquisition, $60K loss

Supplements business acquired. Amazon begins flagging documentation requests on multiple ASINs post-close. Business returned. Final loss: $60K.

Open flags = instant dealbreaker

Open documentation requests on any ASIN are now a dealbreaker. This item was added after the $60K loss. It is item 1 in the Amazon Account Health category.
